At all times the media, websites, and graphics we create custom for you, are your property. There is a three
month minimum for Digital Marketing Management Services. Subsequent monthly recurring charges may be
canceled at any time with 30 days’ notice. Your advertising costs, web hosting, and any other associated
costs are your responsibility, and you determine the limit of the monthly advertising budget you wish us to
manage. Medstar Media, Inc. is not obligated to provide any subsequent services if monthly recurring charges
are not received. All marketing purchasing accounts will be in your name. If additional costs are necessary for
any service needed for you, we will obtain your approval first.
This agreement shall be interpreted under the laws of the State of Utah, and exclusive jurisdiction shall be the
courts in Salt Lake County, Utah. You further agree that in any event, Medstar Media, Inc.’s limits of any
liability to you shall not exceed the amounts paid by you to Medstar Media, Inc. Time is of the essence, and if
any provision of this agreement is found unenforceable, the remain provisions shall bind the parties.
The return on your marketing investment will vary based upon your location, pricing, and business goodwill,
which can also be affected by market forces beyond anyone’s control. Earnings and web rankings of other
clients may not be the same as yours in your market. We, therefore, cannot, and do not, promise any specific
rate of return on your advertising spend.
We agree to provide the services and you agree to pay for the total amount listed above . You further agree to
the terms, conditions and descriptions listed above.

Here is some history to help you understand where we are:

My partner and I founded PSS in 2007 with combined practice revenues of $2.5M/yr mostly from my private practice founded in 1980 in Marin county. 3 years ago the gross was  $6M with the spa doing half of that and currently we are on pace to do north of $10M with spa doing 40%. We see about 80-100 patients per day in both sides of  the practice and have a team of over 20  who are really super including 3 patient coordinators on the surgery side.

From a marketing standpoint we have had ( 8 years)  a digital marketing consultant (GrowthMed) for our website maintenance and paid search for surgery. We have a ROI of about 7:1 at last check and we are obviously happy  with the metrics but they come up really short on the consulting side. (difficult to even get our numbers back on a quarterly basis.)We pay them $**** plus 20% of our PPC spend.


We also have another consultant ( Vivid collective) who does our social media marketing and has made some updates to the aesthetics of our site. They are great on the collaborative consulting side but have been unable to create a return on our medspa marketing. We pay them ****/mo.


The worst thing is that these 2 companies do not get along, don’t consult, blame each other for everything  and that of course makes it difficult to move forward.

You can therefore see why I have a little reticence about getting one more “cook in the kitchen.’ I am less concerned about paying another $****/mo. than I am about having all marketing programs grind to a halt because of too much input. I would be interested to get your take on this dilemma. The obvious answer is “choose us to do everything’ but why? Remember that what intrigued me about your company was the $25M per year that 1 of your clients is doing on a tiny fraction of our bandwidth. Why should this not be PSS?
